Terms and Conditions of Service
Effective Date: June 2019
Off Duty Pilates ("Off Duty", "ODP", "we", "us", or "our") is a trading name of Off Duty Pte Ltd, a company incorporated in Singapore under UEN 201911548C. These Terms and Conditions ("Terms") govern your access to and use of our website at www.offdutypilates.com (the "Site"), and all classes, memberships, class packs, events, and related services offered by Off Duty Pilates (collectively, the "Services").
By accessing our Site, registering an account, purchasing any product or class pack, or attending any class or event at our studios, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must not use our Services.
Off Duty Pilates reserves the right to amend these Terms at any time. Updated Terms will be posted on our Site with a revised effective date. Where a change is material, we will endeavour to provide reasonable advance notice. Your continued use of the Services following any amendment constitutes your acceptance of the updated Terms.
1. Eligibility and Account Registration
1.1 To use our Services, you must be at least 18 years of age. Persons under 18 may participate only with the prior written consent of a parent or legal guardian, who shall be bound by these Terms on the minor's behalf and accept full responsibility for the minor's participation.
1.2 When creating an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you become aware of any unauthorised use of your account.
1.3 Off Duty Pilates reserves the right to refuse registration or to suspend or terminate any account at its sole discretion, including where we reasonably believe that information provided is inaccurate or that these Terms have been breached.
2. Bookings
2.1 All class bookings must be made in advance through our website, mobile app, or such other booking platform as we may designate from time to time. Bookings are subject to availability and are not confirmed until you receive a booking confirmation.
2.2 Off Duty Pilates reserves the right to cancel, reschedule, or substitute any class, instructor, or programme at any time and without prior notice. In such circumstances, we will endeavour to provide reasonable notice where practicable. Except as expressly set out in these Terms, we are not obliged to provide refunds, credits, or compensation where a class is cancelled, rescheduled, or the assigned instructor is changed.
2.3 Class bookings are personal and non-transferable. You may not transfer your booking to another person.
3. Cancellation and No-Show Policy
3.1 We maintain a strict cancellation policy to ensure availability for all members and clients and to respect the time of our instructors.
3.2 Group Classes. Cancellations must be made at least 12 hours before the scheduled class start time. Cancellations made within 12 hours of the class start time will be treated as a late cancellation and the class credit will be forfeited or a late cancellation fee will apply, as specified in our booking platform at the time of purchase.
3.3 Private and Semi-Private Sessions. Cancellations must be made at least 24 hours before the scheduled session start time. Late cancellations and no-shows will result in the forfeiture of the session credit, without refund.
3.4 No-Show. Failure to attend a booked class or session without cancellation in accordance with the applicable notice period will be treated as a no-show. No-shows will result in forfeiture of the class or session credit without refund or rescheduling.
3.5 Late Arrival. If you arrive more than 10 minutes after the scheduled class start time, you may be refused entry at the instructor's discretion in the interest of class safety and integrity. In such circumstances, your class credit will be forfeited.
3.6 Cancellations and changes may only be made through our booking platform. Cancellations communicated via email, WhatsApp, telephone, or social media will not be accepted and will not qualify for a credit or refund.
4. Pricing, Payments, and Class Packs
4.1 All prices are quoted in Singapore Dollars (SGD) and are inclusive of applicable goods and services tax, where applicable. Off Duty Pilates reserves the right to change prices at any time. Any price changes will take effect upon posting on our Site and will not affect bookings already paid for.
4.2 Payment for all Services must be made in full at the time of booking unless otherwise agreed in writing. We accept payment through the methods set out on our booking platform. By submitting your payment details, you authorise us to charge the applicable fees to your selected payment method.
4.3 Class packs are non-refundable, non-transferable, and cannot be exchanged for cash. Class packs are subject to expiry periods as stated at the time of purchase. Any unused credits remaining after the expiry date will be forfeited without compensation.
4.4 Introductory offers, Starter Packs, and other promotional packages ("Introductory Offers") are subject to such terms as may be specified at the time of purchase. Unless otherwise stated, Introductory Offers are available to new clients only and are limited to one (1) per client, regardless of the number of accounts, profiles, or email addresses used to purchase or redeem them. A "new client" means an individual who has not previously purchased or redeemed an Introductory Offer, held an active membership, or attended a paid class or session at Off Duty Pilates. Introductory Offers may not be used in conjunction with any other offer or promotion.
4.5 You must not create or use more than one account or profile, or provide false, incomplete, or another person's identity or contact details, for the purpose of purchasing or redeeming more than one Introductory Offer or otherwise circumventing the limit in clause 4.4. Off Duty Pilates may verify your eligibility by reference to information including your name, NRIC or passport number, contact number, email address, payment card or method, billing details, and any other account or device information used at the time of purchase or booking.
Where Off Duty Pilates reasonably determines, in its sole discretion, that an Introductory Offer has been purchased or redeemed in breach of clause 4.4 or this clause 4.5, we reserve the right, without prior notice, to:
cancel the relevant purchase and revoke any unused credits, without refund;
charge you the difference between the Introductory Offer price and our then-current standard pricing for any classes or sessions already attended;
suspend or terminate any account associated with the breach, in accordance with clause 16; and
refuse any future bookings, account registrations, or Introductory Offer purchases from you.
These remedies are in addition to, and without prejudice to, any other rights or remedies available to Off Duty Pilates under these Terms or at law.
5. Recurring Memberships
5.1 Members will be billed on a recurring monthly basis in accordance with their selected membership plan. Your membership will automatically renew at the end of each billing cycle on the same terms unless you cancel in accordance with clause 5.4 below or Off Duty Pilates cancels your membership. Credits do not roll over from one billing cycle to the next and unused credits will be forfeited upon renewal.
5.2 All recurring memberships are subject to a minimum commitment period of four (4) months (the "Minimum Term"). You may not cancel your membership during the Minimum Term. Cancellation requested before the expiry of the Minimum Term will be declined, and you will remain liable for all membership fees until the Minimum Term expires.
5.3 Following the expiry of the Minimum Term, your membership will continue on a rolling monthly basis.
5.4 To cancel your membership after the Minimum Term, you must provide a minimum of one (1) calendar month's written notice by email to hello@offdutypilates.com. Your membership will remain active and billable throughout the notice period. Cancellation requests communicated by any other means will not be accepted.
5.5 Failed Payments. If a payment fails or cannot be processed for any reason, Off Duty Pilates reserves the right to suspend or terminate your access to the studio with immediate effect, without prejudice to any other right or remedy available to us. You remain liable for all outstanding amounts.
5.6 Membership Freeze. We may, at our sole discretion, allow you to place your membership on hold ("freeze") for a minimum of seven (7) days and a maximum of thirty (30) days per calendar year, subject to written request submitted to hello@offdutypilates.com at least 7 days prior to the intended freeze start date. A freeze request will only be considered on genuine medical grounds supported by a medical certificate, or in other exceptional circumstances at our absolute discretion. During a freeze period, billing will be paused and your membership end date will be extended by a corresponding period. Freeze periods do not apply during the Minimum Term.
5.7 Memberships are personal and non-transferable. You may not share your membership benefits, credits, or booking privileges with any other person.
5.8 Off Duty Pilates reserves the right to terminate or refuse to renew any membership for any reason, including but not limited to breach of these Terms, unsatisfactory payment history, or conduct that is disruptive or harmful to our staff, instructors, or other clients.
6. Health, Safety, and Assumption of Risk
6.1 By participating in any class, session, or activity at Off Duty Pilates, you acknowledge and agree that physical exercise involves inherent risks and dangers, including the possibility of personal injury, illness, or death. You voluntarily and knowingly assume all risks associated with participation, including but not limited to:
minor injuries such as bruising, muscle soreness, and sprains;
major injuries including joint or back injuries, rhabdomyolysis, cardiac events, and concussions; and
catastrophic injuries including paralysis and death.
6.2 Medical Clearance. Off Duty Pilates and its instructors are not medically trained and are not in a position to assess your physical fitness or suitability for any programme. You are solely responsible for ensuring that you are in suitable health to participate in our classes. You are strongly advised to seek medical advice before commencing any exercise programme, particularly if you have any pre-existing health condition, injury, or illness.
6.3 Disclosure of Medical Conditions. You must inform us and the relevant instructor of any pre-existing medical condition, injury, illness, pregnancy, or other circumstance that may affect your ability to participate safely in classes (each, a "Medical Condition"), prior to commencement of any class. Participation in any class with a known Medical Condition is done entirely at your own risk.
6.4 Where, in the subjective opinion of Off Duty Pilates staff or an instructor, you appear to be at physical risk, we reserve the right to deny you access to classes until you provide a medical clearance letter from a registered medical practitioner, at your sole cost, specifically addressing our concerns.
6.5 Tactile Cueing. You acknowledge that our instructors may use hands-on tactile cueing and physical adjustments during classes for correction and safety purposes ("Practice Methods"). Participation in Practice Methods is voluntary and done at your own risk. You may at any time request that an instructor not use tactile cueing on you.
6.6 Safety Instructions. You are required to read and comply with all safety instructions, studio etiquette guidelines, and verbal instructions provided by staff or instructors at all times. Copies of our Reformer and TRX Safety Instructions are available on our website and in studio upon request.
7. Indemnity and Limitation of Liability
7.1 To the fullest extent permitted by applicable law, Off Duty Pilates, its directors, employees, contractors, instructors, and agents (collectively, "Off Duty Representatives") shall not be liable for any loss, injury, illness, or damage of any kind (including but not limited to personal injury, death, loss of property, financial loss, or consequential loss) arising directly or indirectly from:
your participation in any class, session, event, or activity at our studios;
your use of any equipment, facilities, or premises;
the acts or omissions of any instructor, staff member, or other client;
your failure to disclose a Medical Condition; or
circumstances beyond our reasonable control.
7.2 By accessing our studios and Services, you, on behalf of yourself, your heirs, personal representatives, and assigns, hereby irrevocably waive and release Off Duty and Off Duty Representatives from all claims, demands, actions, and causes of action arising out of or in connection with your participation in any class or your entry into the studios, whether arising in contract, tort, statute, or otherwise.
7.3 Nothing in these Terms shall operate to exclude or limit liability in respect of death or personal injury caused by our proven negligence, or any other liability that cannot be excluded under Singapore law.
7.4 Where our liability cannot be excluded, it is limited to the fees paid by you for the specific class or service in respect of which the claim arises.
8. Studio Conduct and Code of Behaviour
8.1 You are expected to conduct yourself in a respectful, courteous, and considerate manner at all times within our studios and when interacting with our staff, instructors, and other clients.
8.2 Off Duty Pilates operates a zero-tolerance policy toward behaviour that is abusive, threatening, discriminatory, harassing, or otherwise objectionable, whether directed at our staff, instructors, or other clients. Off Duty Pilates reserves the right to immediately remove any person from the studio and to permanently revoke their membership or access without refund where such conduct occurs.
8.3 You must not bring food or glass containers into the studio. Covered water bottles are permitted.
8.4 Grip socks are mandatory for all reformer classes. You will not be permitted to participate without grip socks, and your class credit will be forfeited in such circumstances.
8.5 Mobile phones must be kept on silent mode during classes. You are asked to minimise disruption to other clients and instructors.
9. Personal Belongings and Lockers
9.1 Off Duty Pilates accepts no responsibility for the loss, theft, or damage of any personal belongings brought into or stored at the studio. You bring personal belongings to the studio entirely at your own risk.
9.2 Lockers are provided for the duration of your visit only and must not be used for overnight or extended storage. Items left in lockers at the close of business on any given day will be held by the studio for a period of one (1) week, after which they may be donated to charity or otherwise disposed of without further notice.
9.3 If you misplace or lose a locker key, or otherwise render a locker inaccessible, Off Duty Pilates may, at its sole discretion, engage a locksmith or take any other necessary measures to open the locker. All associated costs will be borne solely by you, and we will not be liable for any damage caused to items stored in the locker in the course of such action.
10. Photography, Videography, and Content Usage
10.1 Personal Use Only
All images, photographs, video recordings, audio recordings, and any other media or content captured within Off Duty Pilates premises ("Studio Content") are strictly for the personal, private, and non-commercial use of the individual who captured them. By entering the studios and capturing any Studio Content, you agree to be bound by the terms set out in this clause 10.
10.2 Prohibition on Commercial Use
You are expressly prohibited from using, reproducing, distributing, publishing, broadcasting, transmitting, sublicensing, selling, or otherwise exploiting any Studio Content, whether in whole or in part, for any commercial purpose, including but not limited to:
advertising, marketing, or promotional materials for any product, service, or business;
social media content that is sponsored, paid, or otherwise monetised, including paid partnerships, affiliate marketing, brand collaborations, or influencer campaigns;
editorial, journalistic, or media publications intended for commercial distribution;
any content produced in connection with, or for the benefit of, a competing business or entity operating in the fitness, wellness, or related industries; or
any other use from which you or any third party derives direct or indirect commercial gain.
10.3 Intellectual Property Rights
Off Duty Pilates retains all intellectual property rights in and to its brand identity, trademarks, logos, proprietary equipment arrangements, studio design, and any distinctive elements of its studio environment. Capturing Studio Content does not confer upon you any licence, assignment, or other transfer of intellectual property rights in any of the foregoing.
Any unauthorised commercial exploitation of Studio Content that incorporates or features the Off Duty Pilates brand, trademarks, or any distinctive trade dress of the studios may constitute trademark infringement and/or passing off under applicable Singapore law, including the Trade Marks Act 1998 (Cap. 332) and the common law of passing off.
10.4 Consequences of Breach
Any breach of this clause, or any unauthorised commercial use of Studio Content, may result in one or more of the following:
immediate termination of your membership or right to access the studios, without refund;
a formal demand for the removal or takedown of the infringing content;
a claim for damages, including loss of revenue, reputational harm, and any other losses suffered by Off Duty Pilates as a result of such unauthorised use; and
such further legal action as Off Duty Pilates may determine appropriate, including injunctive relief to restrain continued or threatened infringement.
10.5 Privacy of Others
You are solely responsible for obtaining the prior consent of any identifiable individuals featured in Studio Content before capturing or using such content in any manner. Off Duty Pilates accepts no liability for any breach of privacy or data protection obligations arising from your capture or use of Studio Content.
10.6 Reporting
If you become aware of any unauthorised commercial use of Studio Content, please notify us at hello@offdutypilates.com.
11. Intellectual Property
11.1 All content on the Site, including but not limited to text, graphics, logos, images, audio and video materials, class methodologies, programmes, and proprietary techniques (collectively, "ODP Content"), is the intellectual property of Off Duty Pilates or its licensors and is protected under applicable Singapore law, including the Copyright Act 2021.
11.2 You may access ODP Content for your personal, non-commercial use only. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any ODP Content without the prior written consent of Off Duty Pilates.
11.3 Any feedback, suggestions, or ideas you submit to Off Duty Pilates may be used by us without restriction and without obligation to compensate you.
12. Data Protection and Privacy
Off Duty Pilates collects, uses, and discloses personal data in accordance with the Personal Data Protection Act 2012 of Singapore ("PDPA") and our Data Protection Notice, which is available on our Site at www.offdutypilates.com. By registering an account, making a booking, or otherwise using our Services, you acknowledge that you have read and understood our Data Protection Notice and consent to the collection, use, and disclosure of your personal data as described therein.
13. Website Use
13.1 Access to our Site is provided on an "as is" and "as available" basis. We make no warranty that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Off Duty Pilates shall not be liable for any loss or damage arising from your use of or reliance on the Site.
13.2 You must not use the Site in any manner that is unlawful, disruptive, or harmful, or that infringes the rights of any third party. Prohibited conduct includes but is not limited to: uploading malicious code, attempting to gain unauthorised access to the Site or its systems, and scraping or harvesting data from the Site without our consent.
14. Refund Policy
14.1 Subject to clause 14.2 and any rights you may have under applicable law, all sales of class packs, introductory packages, and memberships are final. We do not offer refunds for change of mind, change of circumstances, failure to use credits before expiry, or any other reason not expressly set out in these Terms.
14.2 Off Duty Pilates may, at its sole and absolute discretion, consider requests for credit or refund in exceptional circumstances (such as a serious medical emergency supported by contemporaneous medical documentation). Such requests must be submitted in writing to hello@offdutypilates.com within 14 days of the relevant event. We are not obligated to grant any such request.
14.3 Where Off Duty Pilates cancels a class through no fault of your own and is unable to offer a suitable replacement, we will provide a class credit for the affected session.
15. Amendments to Services
15.1 Off Duty Pilates reserves the right to modify, suspend, or discontinue any aspect of our Services at any time, including studio operating hours, class schedules, instructor assignments, equipment, and pricing. We will endeavour to provide reasonable notice of material changes.
15.2 Where a material reduction in Services is outside our reasonable control (including force majeure events), Off Duty Pilates shall not be liable to you for any resulting loss, and your sole remedy, where applicable, shall be a pro-rated credit or membership freeze.
16. Termination
16.1 Off Duty Pilates may, in its absolute discretion, suspend or terminate your account, membership, or access to the studios with immediate effect and without refund where:
you breach any provision of these Terms;
your conduct is, in our reasonable opinion, abusive, threatening, or harmful to staff, instructors, or other clients;
your payment history is unsatisfactory; or
we determine it is otherwise in the interests of the studio and its community to do so.
16.2 In the event of termination under clause 16.1, we reserve the right to refuse any future bookings or membership applications from you.
17. Governing Law and Dispute Resolution
17.1 These Terms are governed by and construed in accordance with the laws of the Republic of Singapore.
17.2 Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Singapore.
17.3 Before commencing formal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at hello@offdutypilates.com. We will endeavour to respond within 10 business days.
18. General
18.1 These Terms, together with our Data Protection Notice and any other policies expressly incorporated herein, constitute the entire agreement between you and Off Duty Pilates with respect to your use of the Services and supersede all prior agreements, representations, and understandings.
18.2 If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed from the remaining Terms, which shall continue in full force and effect.
18.3 Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
18.4 You may not assign or transfer any rights or obligations under these Terms without our prior written consent. Off Duty Pilates may assign its rights and obligations under these Terms at any time without notice to you.
18.5 In these Terms, "Off Duty" and "Off Duty Representatives" shall be read to include Off Duty Pte Ltd's directors, employees, contractors, agents, and representatives.
